Yes, inactive constituents do count towards your account license limit. Keep in mind that the license limit is based on number of household constituent records, not necessarily number of individual constituent records. If John and Jane Doe are in a household with their 2 children (a total of 4 individual constituent records), this will count as one record when looking at your account license limit.
